Terms and Conditions

[1] The following Terms and Conditions, together with the Data Protection Policy, Cookie Policy, Anti-Money Laundering Policies, Responsible Gaming Policy, and Player Verification Procedure (KYC), constitute the set of rules [Million Policies/Rules] that govern your use of the Million Services [You; the User].

[2] We recommend that you read the Million Policies carefully and ensure that you fully understand their content. You must unconditionally accept the Million Rules, in accordance with the Applicable Legislation. By creating a User Account on the Million platform, you express your unconditional consent and adhere to the Million Rules, and from that moment, the Million Policies are mandatory for you. You will not be able to use the Million Services if you do not comply with the provisions of this Agreement in its entirety.

[3] The Million Policies constitute a legally binding contract and are concluded between the User and Million – Deep Games S.R.L., a Romanian legal entity, headquartered in Bucharest, Sector 1, Soseaua Odai no. 109-123,which holds a Class I license for remote gambling activities with the number L 1234008W001473, issued by the Romanian National Gambling Office, effective from 01.03.2023 to 28.02.2033.

[4] Any reference to "Million", "we", "us", and "our" refers to Deep Games S.R.L., the company that will operate online gambling games through the website million.ro.

[5] The following terms of use are defined:

[6] [Agreement] = means the end-user license agreement which includes the Million Rules concluded between the Company and the User in accordance with the Applicable Legislation.

[7] [Applicable Legislation] = means all laws, regulations, and any mandatory acts and/or guidelines of ONJN and any applicable regulatory or governmental authorities (depending on the context) that refer to the obligations of each party under and/or in accordance with this Agreement.

[8] [Intellectual Property]: a) any patents, utility models, rights to inventions, trademarks, service marks, signs, trade names, commercial styles, logos, domain names used by Million to provide the Million Services; b) all content on the Website, including, but not limited to, any part of the Million services, images, films, graphics, design, photographs, moving images, animations, videos, music, audio and text; c) any other copyrights, know-how, inventions, trade secrets, confidential information, or any right analogous or connected to the above.

[9] [Million Services] = means the software programs and all casino games, as well as all other games, services, products, and any related content, including Third-Party Products, whether or not they can be downloaded by you, accessible or used by you through the Website and which allow you to participate in the services provided by Million.

[10] [ONJN] = means the National Office for Gambling in Romania. [11] [Website] = means million.ro
[12] [User Account] = as defined in Clause 16 and following.
[13] Territory = shall mean Romania.

[14] The Million Services are offered to you by the Company for personal use under the terms of this Agreement, and you may use the Million Services only if: a) you are a person aged 18 years or older; b) you access the Million Services only from the Territory; c) you are not a resident of a jurisdiction where gambling is prohibited by law.

[15] By creating a User Account, in addition to the warranties and declarations provided in this Agreement, the User declares and guarantees that they have read the Million Rules, fully understand their content, have not been coerced in any way, and freely and knowingly comply with the Million rules, without reservation.

User Account

[16] To use the Million Services, Users must open an Account by registering on the Website. A User may have only one Account for accessing the Million Services through the Website. It is prohibited for a user to open multiple Accounts on the Website. If Million becomes aware of multiple accounts opened by a User, Million will close such accounts and retain the sums of money deposited in such accounts.

[17] To open the User Account, you must follow all the steps indicated on the Website and complete the registration form with all the requested information, namely: a) first and last name; b) home address; c) date of birth; d) personal identification number; e) an express confirmation that the User is over 18 years old; f) telephone number; g) email address; h) Username; i) Password; j) acceptance of the Terms and Conditions; k) Optionally, you may opt for marketing communications and can also withdraw this consent at any time.

[18] Million may require you to provide personal data and supporting documents (such as a copy of your identity card or passport, proof of residency or domicile

address, personal identification number, your email address, credit card details or other payment methods) to comply with its obligations imposed by the Applicable Legislation. You agree to provide only true, complete, and up-to-date information and further agree to update this information as necessary to keep it true, complete, and up-to-date.

[19] Million reserves the right to request at any time documents proving your age to ensure that persons under 18 years do not use the Million Services. If sufficient proof of age or any other personal data or requested documents is not provided, or if Million suspects that you do not meet the requirements for using the Million Services, Million reserves the right to reject your registration request, suspend or close your User Account, and temporarily or permanently prohibit you from using the Million services.

[20] You are fully responsible for ensuring the authenticity of your personal data. If any personal information provided to Million is inaccurate or not up-to-date, you must notify Million and update it as soon as possible. You commit to updating your personal information in the User Account. Million reserves the right to block the User's Account in case you do not comply with the obligations provided above.

[21] The User shall not allow any other person, including a minor, to use or reuse the account, access and/or use any material or information from the site, accept any prize, or access and/or participate in the Services offered. If we have reasonable grounds to believe that any of the Users has allowed another person to use or reuse the User Account, we reserve the right to immediately block the User Account and/or close the account immediately. All winnings obtained by allowing anyone to use or reuse the Account will be voided and the amounts retained or, as appropriate, subject to restitution.

[22] If a User Account is owned or used by a minor (a person under the age of 18 or who, depending on the applicable jurisdiction in the state of residence, is considered a minor, even if they have reached the age of 18), the account will be immediately closed. Bets placed will be considered null and void, and the sums deposited in the Account will be refunded under the law, to avoid chargeback procedures.

[23] The User is obligated to immediately inform Million as soon as they attain the status of a Publicly Exposed Person. For violating this obligation, you assume responsibility and declare that you agree to exonerate and indemnify Million for any kind of liability, including without limitation legal expenses, attorney's fees, for any consequences resulting from your culpable behavior, as determined by the competent courts.

[24] Your personal data provided to Million is used in accordance with the Data Protection Policy.

[25] For creating the User Account, the User will declare their access data at registration, namely the Username, which uniquely identifies the User on the Company's platform; the Password, which is secret and serves to confirm the User's identity.

[26] You are fully responsible for maintaining the confidentiality of your access data.

[27] Million verifies the accuracy of the information you provide during the registration process or at any time thereafter.

[28] The maximum amount allowed for deposit into the User Account is the equivalent in lei of 200 euros, whether the sum is deposited through one or more independent or correlated transactions, until Million verifies the authenticity of the data provided (KYC procedure). Withdrawals from your User Account will not be possible until Million verifies the authenticity of your data.

[29] The minimum amount accepted by Million for the first deposit into the User Account depends on the payment method used and is displayed on the Website, in the payment methods section. By registering on the Website, the User declares and commits, being aware of the sanctions provided by Romanian criminal law, that the source of the funds deposited in the User's account is legal and that the funds were not obtained through fraud and/or other illegal means. The User bears full responsibility for the origin of the funds deposited/credited in the User Account. The User declares and acknowledges that Million does not have the legal possibility to verify, in advance, the origin of the funds deposited by Users, according to legal provisions. Also, Million will not be liable in any way if the competent authorities determine that the sums deposited by the User come from illegal activities. If, based on the data and information obtained at a later stage, Million has suspicions and/or indications that the sums deposited in the User's Account derive from illegal sources, it will immediately inform the competent criminal investigation authorities.

[30] If within 30 calendar days from the date of your first deposit, you do not provide us with all the requested information or documentation, or your name appears on the list of self-excluded or undesirable users, the User Account will be closed, and the balance in the User Account will be remitted to the state budget.

[31] It is prohibited to have multiple gaming accounts under different names or designations.

[32] In situations where you have not made any transaction on your account within a period of 1 year, your account will be considered inactive and closed. Any existing positive balance will be credited to the declared bank account. In cases where payment details are no longer valid or are invalid, and the respective funds cannot be transferred, you will be contacted by the Customer Department to provide valid banking details. From the moment of initiating contact with you, you have a period of 1 year to provide us with the new payment details for transferring the positive balance. If you do not provide us with valid details, upon the expiration of the 1-year period, any amounts existing in the gaming account will be transferred to the state budget.

[33] From the moment of creating the user account and accepting the Million Policies until the closure of the account for any reason, Million grants a limited, non-exclusive, personal, non-assignable, non-transferable, non-sublicensable, revocable right to use the Million services for personal use and entertainment.

[34] All Intellectual Property rights in and related to the Website and Million services belong to it and/or Million's partners.

[35] Each User agrees:

[36] not to distribute, redistribute, sell, rent, assign, transfer, trade, lease, publish or sublicense all or any part of the Million Services to any third party;

[37] not to download or make copies of the Million Services, either in whole or in part;

[38] not to create or identify the source code of all or any portion of the Million Services or derivative works, modify, adapt, attempt to decompile, decipher, disassemble, reverse engineer, decrypt the games;

[39] not to record data on the website page regarding software programs, automation, or use any methods of screen scraping;

[40] not to allow any third party access to their user account;

[41] You fully understand each of the Prohibited Uses listed in Clause [35] above and agree that you will be solely responsible for any damages, costs, or expenses arising from or in connection with any Prohibited Use. You will immediately notify us upon becoming aware of any Prohibited Use by a person and provide reasonable assistance with any investigations we conduct based on the information you provide in this regard.

[42] You agree to grant Million a perpetual, irrevocable, royalty-free, worldwide, sublicensable permission to reproduce, transfer, modify, adapt, and/or edit any content provided by you to Million, subject to applicable legal provisions.

[43] Million Services may be used exclusively subject to having sufficient funds in the user account, and Million will accept a bet only if the total amount of funds in your User Account is greater than the stake placed.

You agree that the funds deposited into your account will be used exclusively to play the games found on our Sites. Thus, the deposited funds will be subject to a minimum betting condition of at least once, for the deposited value. We have the right to suspend or close your account if we reasonably consider or have reasons to believe that you are depositing funds without the intention of placing bets in games. In such circumstances, we may report this to the competent authorities.

[44] Any deposit and/or withdrawal can only be made through the payment methods (payment processors) provided by Million.

[45] We reserve the right to terminate the contract with you to the extent that the name on the debit/credit card/payment method used does not match the data declared by you and with the identity card provided.

[46] Million does not offer credit to its players, and stakes placed are accepted under the condition of having sufficient funds in the user account to place a bet.

[47] Subject to legal provisions, Million may apply deposit or withdrawal limits following specific checks performed on the User Account or depending on the payment method chosen for processing a transaction, limits imposed by applicable legislation or by the payment processors used.

[48] Subject to legal provisions, Million may retain and/or confiscate funds deposited in User Accounts if Million has reason to believe that the Million Rules have been violated or there is suspicion of fraudulent or inappropriate use of the Million Services.

[49] We assume no responsibility regarding the data you declare to us concerning payment details. You are fully responsible if the declared data are incorrect or incomplete, responding for any losses, damages, expenses, and costs as a result of any wrong payments.

[50] You understand and accept that there is a necessary time interval for verification for security and/or AML reasons before we can process your withdrawals or deposits. Million will respect the time limits imposed by current legislation and will inform the User in case additional checks or other procedures are carried out by Million.

[51] In cases where your account is funded with funds that do not belong to you, regardless of the reason behind it (technical error, human error, etc.), Million reserves the right to cancel these transactions and retain these funds, subject to applicable legal provisions.

[52] We reserve the right to cancel any transactions made using incorrectly/erroneously credited funds, to freeze and retain these funds, and to cancel any subsequent winnings owed to you. If you have withdrawn funds before such a transaction is canceled by Million, without prejudice to other remedies and actions that may be available to us by law, the erroneously paid amount will constitute a debt owed by you to us. In such cases, within legal limits, Million reserves the right to make corrections to your user account.

[53] We reserve the right to implement limits on deposits into the User Account. Deposit limits can be set using the tools provided in the User Accounts or following your request sent to the Million Customer Department.

[54] If you use a payment method associated with a bank account that does not belong to you and/or use funds that do not belong to you, including the use of a stolen, cloned, or unauthorized payment instrument, we reserve the right to treat any such deposit into the account as invalid (and any winnings resulting from this deposit as void) until all relevant checks have been satisfactorily completed.

[55] Depending on the checks carried out in relation to the User Account or payment methods, fees may be applied for withdrawals. Please check the Payments Section on million.ro.

[56] Your funds available for withdrawal can only be withdrawn through the same payment method used for the deposit.

[57] In accordance with Applicable Legislation, Million will withhold taxes and duties that you owe when withdrawing funds from the User Account.

[58] Million reserves the right to suspend or cancel a withdrawal if additional checks are required in accordance with the AML Policy.

[59] Million reserves the right to implement limits on withdrawals. Withdrawal limits can be set using the tools provided in the User Accounts or following your request sent to Million.

[60] Million is not responsible for penalties, server interruptions, delays, or other technical or maintenance issues related to gambling games that are due to third parties. Any refunds will be made according to the decision of the management team and within legal limits. Million will not be liable for damages or losses that are considered or claimed to have occurred in connection with the Website or its content, including, but not limited to, delays or interruptions in the operation or transmission of data, losses or corruptions, communication problems, inappropriate use of the Website or its content by any person, or any errors or omissions in its content.

[61] For malfunctions in the Casino section, all games are declared void. If a game is started but interrupted due to a system malfunction, Million will refund the wagered amount by crediting it to your User Account and, if it no longer exists, paying you in an approved method; if you have an accumulated credit at the time of the game's interruption, the amount will be credited to your User Account or, if the Account no longer exists, it will be paid to you in an approved manner.

[62] In the event of an interruption in participation in a gambling game, after a User has placed a bet, as a result of a disruption in the telecommunications systems or an error in the participant's IT system that prevents them from continuing the game, the game will end by itself and, when the system error is corrected, the outcome of the game will be available on the User's game page. If the User wins, the winning amount will be credited to their account.

[63] Based on the decisions of internal departments, Million occasionally organizes promotional campaigns during which Users may receive Bonuses, winnings, prizes,

rewards in various forms, subject to Applicable Legislation and Million Rules (“Million Prizes”).

[64] Each Million Prize is subject to this Agreement and its own specific terms and conditions, including, but not limited to, any potential wagering requirements and any other specific conditions.

[65] Million may, under certain circumstances, credit a player's account with so-called “bonus money.” The conditions for crediting the bonus (e.g., promotional campaigns) and the value of the bonus are determined by Million, established on the Site, and in the specific terms and conditions of the promotions.

[66] Bonus money is indicated and displayed separately in the Player's Account. The player can play and wager the bonus money only after the real money balance is exhausted, and once the wagering requirement of the bonus is completed, the remaining bonus money, if any, will be converted into real money and become available for withdrawal. The specific terms and conditions for bonuses will be published on the website along with the launch of bonus offers.

[67] From time to time, we may offer you bonuses and various financial incentives (these are collectively referred to as “Bonus(es)” in the Terms), including, but not limited to, bonus

money and/or free spins.

[68] Each Bonus offer is provided to you according to these Terms and Conditions, as well as in accordance with the specific terms and conditions of each Bonus offer, as will be made available to you on the page where the Bonus is activated. You should carefully read both these Terms and the specific bonus terms and conditions before activating a Bonus. By activating any Bonus, you indicate that you accept the specific

terms and conditions of such a Bonus. In the event of discrepancies, the general terms and conditions shall prevail over the Bonus Terms and Conditions.

[69] Although we may have a number of Bonuses offered, you can have only one active Bonus at a time. If you wish to accept another Bonus offer, you must first meet the wagering requirements of the previous Bonus or the total balance of Your Account (real balance and bonus balance) must be zero. You can view your active bonus in the Bonuses section of the website.

[70] All our Bonuses are limited to one per person, per household, per computer, and per IP address, unless otherwise specified. All “welcome” Bonuses are intended only for our new customers, meaning that such Bonuses are valid only when you first open an account on the site, provided that you have never had an account with us and have never activated any other “welcome” Bonus.

[71] Unless otherwise specified, each bonus offer is valid only on the date it was initially sent to you.

[72] Most of our bonuses can be activated only after (or at the same time) you make a deposit (referred to as the "Associated Deposit") into your account. Unless otherwise specified, the minimum Associated Deposit for a “welcome” Bonus is 50 lei or the equivalent in another currency. You can see the minimum Associated Deposit required to activate a Bonus on the respective Bonus page. The minimum Associated Deposit must be deposited in a single transaction, for example, 100 lei, but not 2 x 50 lei.

[73] Some bonus offers require manual activation. In this case, you need to activate the desired Bonus from the list in the Available Bonuses subsection located in the Bonuses section.

[74] If you accept or activate a Bonus by mistake, you can choose to forfeit the Bonus and remove it from your account.

[75] All our Bonuses have a wagering requirement that you must meet before you can withdraw the Bonus amount, the Associated Deposit amount, and any potential winnings. The applicable wagering requirement for each specific Bonus is set in the special terms and conditions of that Bonus. The wagering requirement is stated as a multiplier of the bonus amount and/or the Associated Deposit amount (for example, x30).

[76] This means that to meet the wagering requirement, you must place a total amount of bets equal to the value of that Bonus and/or Associated Deposit multiplied by the multiplier (for example, a Bonus amount of 100 lei or an equivalent amount in another currency with a wagering requirement of x30 means you need to place bets for a total amount of 3000 lei or equivalent in another currency. If it is specified that the wagering requirement also applies to the Associated Deposit, a Bonus amount of 100 lei or equivalent in another currency with a wagering requirement of x30 means you need to place bets for a total amount of 3000 lei or equivalent in another currency plus 30 times the Associated Deposit). Some wagering requirements may be limited by the period in which you need to meet them.

[77] When you place a bet while a Bonus is active (i.e., wagering requirements have not been met) and you have no Real Balance, the amount of such a bet will be taken from your Bonus Balance, and the amount won from such a bet will be placed in your bonus balance.

[78] When you place a bet while a Bonus is active (i.e., wagering requirements have not been met) and you have a Real Balance, both the bet and the winnings/losses will be divided between the Real Balance and the Bonus Balance, as defined in the following subparagraphs:

[79] Whenever a bet is placed, funds from the Real Balance will be used first, then funds from the Bonus Balance.

[80] Winnings obtained from stakes placed from the Real Balance will be distributed in the Real Balance. Winnings obtained from stakes placed from the Bonus Balance will be distributed in the Bonus Balance until the wagering conditions are met.

[81] If there are not enough funds in the Real Balance, the stake will be made up of funds from both the Real Balance and the Bonus Balance, and any winnings generated in this way will be distributed in percentage shares, equivalent to the percentage of the stake used from each Balance in part.

[82] Winnings resulting from placing a bet that includes both Real Balance and Bonus Balance funds will be distributed so that the Real Balance returns to its initial value before placing the bet, with the remaining funds being distributed in the Bonus Balance.

[83] For each bet placed while a bonus is active, only the amounts of each bet deducted from the Bonus Balance will contribute to the wagering requirements of the corresponding bonus.

[84] The Bonus amount and all winnings obtained with the Bonus Balance will be available for withdrawal only after the wagering requirements are met.

[85] If your Total Balance drops below 0.1 lei or equivalent in another currency before meeting the wagering requirement, then the corresponding Bonus will be automatically lost.

[86] The amount of the Associated Deposit will be placed in your Account's Real Balance and can be withdrawn, subject to the other provisions of these Terms.

[87] If you request the withdrawal of the Real Balance while a Bonus is active, the Bonus Balance will be lost.

[88] Once you meet the wagering requirement, the current amount in your bonus balance associated with that bonus (i.e., the bonus amount plus any winnings, if any) will be transferred to your real balance and become available for withdrawal, subject to the other provisions of these Terms.

[89] Unless otherwise specified in the specific Terms and Conditions of the Bonus offer, all Bonuses have a wagering requirement of 30 times (x30) on the Bonus amount and the Deposit. Real money winnings resulting from the bonus rollover are limited to 1000 RON or the equivalent in another currency unless expressly stated otherwise. It is your responsibility to check the specific Terms and Conditions applicable to each Bonus before using it. If you attempt to withdraw an amount that exceeds the aforementioned limit or any other limit regulated by these Terms and Conditions, only the maximum allowed amount will be paid.

[90] Free spins allow you to play rounds of specified games without using your other balances. All winnings obtained from such free spins will be placed in the Bonus Balance and will have a wagering requirement of 1 time (x1) before the Bonus Balance can be withdrawn unless otherwise stated in the specific terms and conditions of the Bonus offer. If a Bonus offer consists of both free spins and other Bonuses, the above wagering requirement for winnings from free spins will be additional and not in place of the wagering requirement of the other Bonuses. Unless otherwise specified, all free spins must be played within 24 hours of activation, after which any unused free spins will be automatically canceled.

[91] No deposit bonuses (i.e., Bonuses that do not require the activation of a deposit) have a wagering requirement of 30 times (x30) of the Bonus value unless otherwise specified. Please note that all no deposit bonuses have a maximum refund of 1000 lei or the equivalent in another currency unless otherwise specified. If you win more than the maximum withdrawal amount using the no deposit Bonus, all winnings above the maximum withdrawal amount will be canceled and lost. It is your responsibility to check the specific terms and conditions applicable to each Bonus before using it. If you attempt to withdraw an amount that is greater than the maximum withdrawal amount, only the maximum withdrawal amount will be paid, and all other winnings will be canceled and forfeited. Additionally, unless our

relationship with you is terminated, you will only be able to withdraw winnings obtained through a no deposit Bonus after you have made at least one successful deposit into your account; this is in addition to other withdrawal requirements according to these Terms.

[92] Our bonuses are intended as a reward for you and are strictly for entertainment purposes. We reserve the right to review your use of bonuses and your gameplay to detect bonus abuse and irregular play at any time, including before processing any withdrawals. This includes doubling bets after the game round has ended. If we have a reasonable suspicion that irregular play or bonus abuse has occurred or suspicions regarding activities that are or may constitute money laundering, terrorism financing, and/or any other illegal activity according to any applicable law, we reserve the right to cancel your bonuses and all winnings obtained by wagering the Bonus and the Associated Deposit. Actions considered irregular play and bonus abuse include, but are not limited to, zero or low margin bets or hedge betting.

[93] The exclusive use of bonus funds to progress in a game stage to a point where future spins have a higher chance of winning, an increased chance of a larger payout, or an increased chance of playing a bonus round is also considered abusive play and may lead to the cancellation of winnings, pending withdrawals, and account balance forfeiture. Player accounts with abusive practices may be closed.

[94] We reserve the right to exclude any player from any bonus offers. We reserve the right to modify or cancel any Bonus if we believe that any technical issue or other event prevents the use of the Bonus as intended.

[95] In situations where you encounter technical issues, such as disconnection or blocking of a gaming session or device-related issues during a bonus betting round, all game information and placed bets remain accessible until you reopen the same game. This way, you can continue the unfinished round by accessing the same game. If you cannot or fail to access the game/unfinished session and decide to place another bet in a different game meanwhile, the bonus balance will be canceled. If the unfinished round was triggered with a stake placed in bonus money, the derived bonus winnings will also be canceled. This only applies to stakes placed with bonus money. For real money stakes, you can complete the unfinished round at any time,

and any potential winnings associated with real money stakes are not canceled until the round is completed. Where possible, players will be informed through a pop-up message upon login and game launch when an unfinished bonus

round is about to be completed. Also, Million will inform players when they will lose or cancel a bonus round.

[96] The Bonus will be canceled along with all winnings arising from it in the following cases:

a) When Users violate the Million Rules;

b) when Users violate the terms and conditions of any Bonus campaign;

c) in the case of any attempts and/or suspicions of fraud;

d) when the User has not provided the requested documents during the customer knowledge process;

e) when a User opens multiple accounts to receive multiple Bonuses;

f) when a User or a group of Users, due to Bonuses, ensures guaranteed profits regardless of the outcome of the events they have bet on;

g) Million reserves the right to cancel any Bonus of any User at any time and for any reason.

[97] Million reserves the right to cancel any bets and the winnings resulting from them when Users place sure bets, which ensure guaranteed profits regardless of the outcome of the betting events. Million's decisions regarding Bonuses are final.

[98] If any Bonus abuse is suspected, Million may withhold Bonuses, as well as the winnings resulting from them, may cancel any active or future Bonuses, may block or restrict access to certain bets and products, close the User Account, and recover all damages suffered.

[99] If technical problems occur, such as disconnection, game blocking, device issues during a bonus betting round, all game information and placed bets are stored until you reopen exactly the same game. You can continue the unfinished round from the point where it was interrupted by accessing the same game again. If you cannot or fail to access the same game again and decide to place another bet in the meantime, the incomplete game round will become void and the associated winnings will be lost.

[100] Free spins. Users will be able to use free spins for certain games and under specific conditions, such as the number of free spins or the value of each spin.

[101] The granting of free spins is approved by the relevant internal departments of Million, including, but not limited to, the marketing department.

[102] The conditions for using each free spin, such as the event/promotion for which it is awarded, the assignment mechanism, restrictions on the use of free spins (for example, for one or more games), wagering requirements, and the awarding of winnings are established for each campaign individually.

[103] Bonus abuse includes, but is not limited to, the following:

a) violation of the Terms and Conditions of the Bonus, free bets, or any other promotional campaigns;

b) playing only with Bonuses while all minimum deposits are withdrawn to be eligible for the promotion;

c) any situations that Million qualifies as Bonus abuse.

If there is reasonable suspicion that the User has committed or attempted to abuse a Bonus, Million reserves the following rights:

a) to withhold, at its discretion, the Bonus allocated to the User and any winnings arising from it;

b) to revoke, reject, or withdraw a bonus offer made to the User and/or block access to Million Services;

c) to exclude the User from any future promotional campaigns;

d) to close the User Account with immediate effect.

[104] If there are reasonable suspicions that a series of bets have been placed by a customer or a group of customers, which, as a result of a Bonus, free spins, or any

other promotional offer, results in guaranteed profits for the User regardless of the outcome, Million reserves the right to recover the Bonus and to settle bets at the correct odds, to cancel free bets and/or Bonus winnings.

[105] Events outside our control:

[106] We will not be in breach of these Terms and Conditions nor be liable for any delay in performing, or failure to perform, any of our obligations under these Terms and Conditions if such delay or failure results from an event beyond our reasonable control.

[107] Million does not guarantee that the use of Million Services will be uninterrupted, error-free, virus-free, or without defects. The Million Services are provided "as is" and Million hereby disclaims any and all warranties or representations, express or implied, related to the Million Services.

[108] If Users' use of the Million Services is interrupted due to a failure in the Users' communication networks, internet access service, computer system, or device and which prevents them from continuing to use the Million Services after placing a bet, Million will take all reasonable measures to resume the Million Services. If resumption of the Million Services is not possible, Million will make reasonable efforts to:

a) cancel the game; and

b) return the wagered funds to the User Account.

[109] Million cannot be held liable for any interruption or any other incidents during the use of the Million Services if they are due to any type of deficiency in the telecommunications networks and internet access service used by Users.

[110] Million cannot be held liable if there is an error in the content of notifications of any kind or if Users do not receive notifications. Notifications are for the benefit of Users.

[111] By entering into this Agreement, you agree, declare, and warrant that:

[112] you are solely responsible for acting in accordance with Applicable Legislation, as well as the Million Rules;

[113] you will act on your own behalf. Registering a person in the name of another is strictly prohibited. You must not act on behalf of or for another person;

[114] you meet the requirements set out in Clause [114] above;

[115] you have provided Million with true, complete, and correct information;

[116] you will report or declare any withdrawals, including any winnings, if such reporting is required by Applicable Legislation, tax authorities, or other authorities, and you are solely responsible for the payment of any taxes or commissions.

[117] Million does not provide tax or legal advice. If you wish to obtain advice on such matters, you should seek advice from qualified advisors.

[118] you are fully aware that gambling involves financial risks and you are fully and solely responsible for any losses incurred when using the Million Services;

[119] you are not an employee, agent, or representative of Million or its affiliates or any other person who is prohibited or should refrain from using the Million Services;

[120] you are not included in any register or database of excluded or dependent players;

[121] The funds deposited into the user account do not originate from illegal activities.

[122] You will refrain from using the User Account for any illegal activities.

[123] You will not abuse or exploit any error or technical incidents of the Million Services. You will not disclose any information about an error or technical incidents related to the Million Services. If you profit from or disclose any information about an error or incident, Million reserves the right to pursue all available legal avenues to remedy all damages suffered as a consequence.

[124] You must not abuse Bonuses and other promotional offers.

[125] In the event of an incorrect crediting of the gaming account or bank account, you must immediately notify us by email at [email protected].

[126] You are not a professional player in any game offered by Million (for example, counting numbers in Blackjack, etc.).

[127] You do not find the Website or its services offensive or unfair.

[128] When depositing money, you are authorized to use the bank card and do not use a card from a jurisdiction where betting and gambling are prohibited.

[129] Million reserves the right to terminate this Agreement, close the User Account, and retain the funds deposited in the User Account in case the User breaches any of the declarations and warranties provided above.

[130] The conditions and any dispute or claim arising in connection with them, their subject or formation (including non-contractual disputes or claims), will be governed by Romanian laws. Any dispute or claim arising from or related to the Terms or their formation (including non-contractual disputes or claims) will be subject exclusively to the jurisdiction of the courts in Bucharest.

[131] Million will make all reasonable efforts to respond to your complaints, presenting the results of the checks within 14 days from the date of filing the complaint. For Million to respect the aforementioned period, you must provide us with accurate and complete information regarding your identity and all relevant details regarding your complaint; otherwise, this period may be extended. In case a dispute cannot be resolved between Million and the User, the complaint must be sent to a representative of the ONJN through http://onjn.gov.ro.

[132] Million reserves the right to close any pending bet or claimed pending bet that is the subject of a dispute regarding any term of the bet, to minimize the financial consequences of the bet pending the resolution of the dispute, and any such closure will be valid as if it had been made with Million Policies.

[133] The relationship between us and you and any other persons who engage, on our behalf, to provide the website and Services, will not be considered at any time as a partnership, trust agreement, joint venture, agency, or legal relationship of any kind.

[134] You understand and expressly agree that you may receive communications from us in electronic format. Electronic communications may be posted on the pages within the Site and/or sent to your registered email address in the Account. All communications in electronic format will be considered to have been made "in writing" and to have been received no later than the next working day after posting or transmission, regardless of whether you have received or picked up the correspondence. We reserve the right, but do not assume any obligation, to provide you with communications in paper format. Please note that any communications sent in accordance with this paragraph will be governed by our Privacy Policy.

[135] Million reserves the right to retain the funds deposited and/or winnings from bets resulting if we determine that a credit or debit card has been used abusively or fraudulently. Million will report to the competent authority any problem of improper or fraudulent use of any credit or debit card. In such events, Million reserves the right to terminate this Agreement, close the User Account, and retain the funds in the User Account.

[136] Million may use the services provided by Third-Party Service Providers to monitor and store technical information on Users' devices. You accept that these data may be used to make decisions regarding investigations in cases where User Accounts have not been operated in good faith, including, but not limited to, taking over User Accounts, bonus abuse or betting, multiple User Account operations, payment method abuse, etc.

[137] Million reserves the right to close User Accounts and cancel any bet or all bets made in an attempt to deceive Million. This includes, but is not limited to, situations where a User Account is used by someone other than the User.

[138] You will indemnify and be obliged to pay to Million, on demand, all costs, expenses, taxes, or losses suffered or liabilities incurred by Million (including any direct, indirect, or consequential losses, any loss of profit, and reputation damage) resulting directly or indirectly from your fraudulent, inappropriate, deceptive, manipulative, inadequate, or otherwise unacceptable activity (whether or not illegal), as they will be determined by the competent courts. Without prejudice to the above, if Million has reason to suspect that you are involved in fraudulent or inappropriate activities, this Agreement will be terminated without prior notice, your User Account

will be closed, and funds in the User Account will be retained by Million.

[139] Except for the winnings legally due to you and subject to the Terms and Conditions of Million, Million's liability to you is limited to the greater of:

a) in case such liability refers to a specific bet, the value of such a bet paid by you;

b) in case such liability refers to the misapplication of funds in your User Account, the amount that was lost or misplaced;

c) in case such liability refers to any breach by us of any obligation of this Agreement: 5,000 RON.

[140] You confirm and agree, except as otherwise provided in this document, that Million will not be liable for any direct, indirect, incidental, or consequential damages, or for unrealized profit damages arising from any claim or action under contract or law.

[141] Nothing in this Agreement shall be deemed to exclude, restrict, or limit liability for:

a) Death or personal injury resulting from negligence;

b) Any liability (including indirect or consequential damages, or unrealized profit damages) for fraud, misrepresentation, intentional acts; or

c) Any liability that cannot be excluded or limited by law.

[142] A User Account can be closed or suspended using the tools available on the Website. Whenever you need assistance in this regard, please contact Million's customer support service.

[143] A User Account can only be closed if the account balance is zero. Before requesting the closure of your User Account, please withdraw any existing funds.

[144] Million is committed to ensuring that its customers use the Million Services safely and responsibly. We have created a Responsible Gambling Policy designed to ensure that you are not exposed to potential risks caused by the negative effects of gambling. You can exclude yourself from using the Million Services or set specific limits to enjoy our services responsibly. Please contact Million's customer support service for more information.

[145] Million may periodically check Accounts to monitor any activity that it may consider unusual. In such a case, Million reserves the right to suspend a User Account during the investigation, without prior notice.

[146] Million reserves the right to refuse the registration of a User or to suspend a User Account if the chosen username may be considered offensive and/or immoral by Million, in Romanian or any other language, or that might offend other Users. The suspension can occur at any time. After any suspension measure, the User for whom such measure was taken will be informed through one of the available means registered in the User's Account.

[147] Without derogating from the other provisions of this Agreement, Million may reject your registration request, terminate this Agreement, close the User Account, and retain all sums deposited in the User Account, if any of the following events occur:

a) The User does not meet the requirements set out in the Terms and Conditions;

b) You have multiple User Accounts or use the Access Data of other Users to log into their User Accounts. In this case, both your User Account and the other User's Account will be permanently closed;

c) You have violated any of the warranties or statements provided in Clause 8.1 above;

d) You have disclosed the Username and password to third parties, allowing them to use the Million Services;

e) You have made refunds and/or refused or canceled any payment made by you concerning the Million Services;

f) You have used the Million Services for purposes other than those mentioned here or have used the Million Services in bad faith;

g) You have used the Services in violation of Applicable Legislation.

[148] Million reserves the right to close a User Account for any reason, without prior notice. In this case, the funds deposited in the User Account will be transferred to your bank account. When the closure of the User Account is due to your breach of this Agreement or any Million Rules, Million will retain the funds deposited in your User Account. If your payment details are not valid, we will notify you and inform you that the funds can be withdrawn within one year of notification. After one year, the positive balance within the User Account will be transferred to the state budget.

[149] Upon termination of this Agreement, you will no longer be able to use the Million Services.

[150] This Agreement may only be assigned by Million, in whole or in part, at any time without prior notice.

[151] If we do not insist at any time on the strict performance of any of the obligations under the Terms, if we do not exercise a certain right or remedy to which we are entitled under the Terms, this will not constitute a waiver of such rights and will not release you from the obligation to comply with such obligations. Our inaction regarding any right will not constitute a waiver of any other right. No waiver on our part regarding the Terms will be effective unless it is expressed as a waiver and communicated to you in writing, in accordance with paragraph 93 above.

[152] If any provision of these Terms and Conditions is determined by any competent authority or court to be null, ineffective, or excessive, in whole or in part, the other provisions of these Terms and Conditions will continue to remain in force and have full effect.

[153] We reserve the right to modify and update the Million Rules at any time. You will be informed about these changes to the Million Rules. You must refrain from using the Million Services if you do not agree with the updated or modified Million Rules.

[154] All rights not expressly granted by Million are reserved.

[155] The Million Rules are not intended to affect in any way the rights a User may have under Romanian consumer protection legislation.

[156] No waiver of any

breach of any provision of the Million Policies shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions of this Agreement, and no waiver shall be effective unless made expressly in writing and signed by an authorized representative of the waiving party.
